Legal Counsel
Legal advisory services are provided to corporate clients, boards of directors, legal departments, investor relations departments, and independent counsel. This work covers the legal relationships among a company’s domestic or foreign shareholders; amendments to articles of association; capital increases; the management of continuing legal relationships such as licensing, distribution, and supply agreements; and matters relating to a company’s organizational structure and core commercial activities, including the conduct of board and general assembly meetings.
Legal Opinions
Legal opinions are also prepared, where required for submission to courts, on matters within the areas of expertise. Recent legal opinions have concerned, in particular:
- • Commercial agents’ indemnity claims (portfolio compensation)
- • Product liability
- • Financial rights of board members, particularly attendance fees
- • Procedure governing board meetings, particularly electronic board meetings
- • Banks’ obligations in opening deposit accounts and the resulting liability of banks
- • The lawfulness of board and general assembly resolutions in IPO processes
- • Non-compete obligations of executives following the termination of their office
- • Non-compete obligations of employees following the termination of their employment
- • Issues of culpa post contrahendum and unfair competition arising from the solicitation of employees by competing businesses
